Retention time

    • Cancellation of Plans

      For existing clients who is already using our services, the cancellation is as per the terms and conditions mutually agreed upon or 30 days notice in advance by default. And for new clients, or during development or during implementation phase, the client has the right to modify, reject, cancel or stop the work in process. However, the client agrees to pay us for all costs incurred prior to the change in instructions, and which relate to non-cancellable commitments. We agree to use best efforts to minimise such costs and expenses for new clients.

    • GENERAL TOS

      During the project briefing, it is client’s responsibility to provide us with clear guidelines along with the flow or specific details you may require. When such details are not provided, we will proceed with our understanding of your requirements and quote accordingly. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Thus, it is essential that you clarify every aspect of your website development and ensure that you have been quoted on the right requirements. Once proposal has been finalised, any additions, changes or enhancements in the functionality or design of the project will affect the proposal and may incur additional cost and a revised delivery date. All additional work, over and above the estimates is charged separately. Under no circumstances will Echotech be liable for any delays caused by change in the project brief.

      As per the client’s requirements, if the development process requires purchase of additional plugins from a third party, this will be charged exclusive of the project bill. However, in the interest of the client, they will be notified in advance of the same.


      RESPONSIBILITY

      Echotech takes no responsibility of any of the third party products, software or components used in the website development such as payment gateway, plugins, SSL certificates etc. We suggest you to take regular back-ups to avoid any disruptions.

      Echotech Lab takes no responsibility of any open source products such as WordPress, Open Source carts, Joomla, Odoo, etc. It is clients responsibility to update all components and third party softwares.


      OWNERSHIP

      Website / Web App - Customer have full ownership after complete payment. But in case of software as a service or software customised for client, the client will have full conntrol and access of the product(s), via login username and password once the project is handover. But source code for of the software will remain the property of the Echotech Lab and hence resell of the source code or transfer of rights without prior written premission from Echotech, are not allowed. In such projects all technical support and hosting is take care by Echotech Lab only.


      MODE OF COMMUNICATION

      Echotech Lab provides IT services remotely to individuals and organizations and neither encourages nor permits any in-person visits by its experts to the customer's location for any of the services delivered without prior information.

      Under normal business circumstances, ECHOTECH ENGINEERING will ensure to get the delivery of all services within the stipulated time period communicated through our business emails ( ****@e-engg.com) & Customer Portal: (https://support.e-engg.com/ ) only. No request is accepted on whatsApp or over telephone call. All request must be communicated in written via email or through our customer portal only .



      RIGHT CHOOSE LOYAL CUSTOMERS

      Echotech Lab reserves the right to offer special discounts on its services to specific loyal customers from time to time. Such offers can be availed through unique discount codes or complimentary training, assigning of dedicated support executive for limited or unlimited period. It is Echotech, who choose such loyal customer based on their purchase history and time enrolled with our service, no customer can force or ask Echotech for such free service, by giving referrence of any other customer.


      RIGHT TO WITHDRAW FREE SERVICE FROM LOYAL CUSTOMERS

      Echotech reserve the right to withdraw free services at any point of time without any prior notice, if not mentioned in the agreement.


      RIGHT TO CANCEL SERVICES

      At all times, Echotech Lab expects to maintain a cordial business relationship with its customers. However, if the customer comes across as being extremely unreasonable or rude with Echotech Lab staff or its experts, Echotech Lab reserves the right to cancel the order and terminate the agreement with the customer. In the event of cancellation, the customer will forfeit any payment made to Echotech Lab.


      RIGHT TO REFUSE

      Echotech Lab is governed by the laws of the country and will carry out its business in good faith with complete transparency. Echotech Lab reserves the right to refuse any order that it cannot deem to fulfill within the legal and regulatory framework of the country.



      CONFIDENTIALITY

      Echotech acknowledges its responsibility, both during and after the term of its appointment,to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information and data developed by Echotech Engineering on behalf of the client or disclosed to Echotech by the client. Customers data(s) collected via our product(s) / Service(s) are used for internally purposes only, in order to improve our product(s), service(s) and user experience. Customer can access to their own data available with us via our customer portal (https://support.e-engg.com) or services they are using and can also request us for deletion / correction of some part of the data / complete data. Echotech Lab do not sell any customer data to any third party for any commercial / non-commercial use.


      Echotech Lab shall keep confidential all confidential information provided by the customer excepting only such information as is already generally known to the public and that shall not release use or disclose of the same except with the prior written permission of the customer or if required by law or an order from court. However, Echotech Lab will be entitled to divulge the information to those who are directly concerned or as may be necessary in order to obtain certain information necessary for the performance of his obligations.


      LIMITATION OF DAMAGE

      In situations where the service needs to be delivered before a deadline (Eg. Tax filing), Echotech Lab will clarify the estimated time required to fulfill the service to the customer. Customer is expected to cooperate with Echotech Lab to enable us to deliver the services in a timely manner. In case of any delay in order fulfillment, Echotech Lab shall not bear the cost of any interest or penalty that may be imposed on customers by other parties.

      NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY LOST PROFITS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGE OF ANY KIND, OR FOR DAMAGES THAT COULD HAVE BEEN AVOIDED BY THE USE OF REASONABLE DILIGENCE, ARISING IN CONNECTION WITH THE AGREEMENT, EVEN IF THE PARTY HAS BEEN ADVISED OR SHOULD BE AWARE OF THE POSSIBILIY OF SUCH DAMAGES.

      NOTWITHSTANDING ANYTHING ELSE IN THE AGREEMENT TO THE CONTRARY, THE MAXIMUM AGGREGATE LIABILITY OF ECHOTECH LAB AND ANY OF ITS EMPLOYEES, AGENTS OR AFFILIATES, UNDER ANY THEORY OF LAW (INCLUDING BREACH OF CONTRACT, TORT, STRICT LIABILITY, AND INFRINGEMENT) SHALL BE A PAYMENT OF MONEY NOT TO EXCEED THE AMOUNT PAYABLE BY CUSTOMER FOR THREE MONTHS OF SERVICE.

      THE CLIENT MUST RECOGNIZE THAT AT TIMES THERE MAY BE UNFORESEEN CIRCUMSTANCES THAT WILL DELAY THE DEVELOPMENT PROCESS, PARTICULARLY WITH REFERENCE TO THE INTEGRATION OF THIRD PARTY SOFTWARE OR DUE TO COMMUNICATION GAP, OR DUE TO ANY OTHER REASON. WE WILL TRY OUR BEST TO COMPLETE THE PROJECT AS AGREED IN THE PROPOSAL. THE CLIENT AGREES NOT TO PENALIZE US FOR ANY GENUINE DELAY, WHEN EVERY EFFORT TO KEEP THE PROJECT ON THE PROPOSED SCHEDULE IS TAKEN.


      BACK UP & DATA LOSS

      Customer agrees to maintain a current copy of all content hosted by Echotech Lab notwithstanding any agreement by Echotech Lab to provide back up services unless a backup service is purchases with us. We are not held responsible for any data loss or financial loss as outlined in section “Limitation of Damages”.


      DISCLAIMER OF WARRANTIES

      ECHOTECH LAB DOES NOT WARRANT OR REPRESENT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. TO THE EXTENT PERMITTED BY APPLICABLE LAW. ECHOTECH LAB DISCLAIMS ANY AND ALL WARRANTIES INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL SERVICES ARE PROVIDED ON AN “AS IS” BASIS.


      PAYMENT TERMS GENERAL

      Unless otherwise specified, our payment terms are as follows:
      A 80% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the development work. The remaining 20% shall become due when the work is “complete”. We reserve the right not to commence any work until the deposit has been paid in full. There are no exceptions to this, i.e If the client decides they no longer want the Website / Software / Requested Product, as they have commissioned the work and paid a deposit they are still obliged to pay for the work that has been done.

      The development is “complete” when the product is live, not when the content is ready, which means the payment will be due when we’ve done our part.

      If the project stalls for a period of 2 weeks due to the client’s delays, Client is required to complete 100% of the total project agreed before commencing the work. All invoices are to be processed as per the schedule via your preferred method of payment. i.e. Online Payment via stripe or PayPal or direct Bank Transfer.

      A payment is considered as PAID, when it reflects in our bank or payment gateway statement.


      PAYMENT TERMS FOR HOSTING SERVICES

      Fees are payable in advance from TEN (10) days prior to the beginning of, to the first day of a new billing cycle. Customer’s billing cycle shall be monthly, quarterly, semi-annually or annually as indicated on the Order, beginning on the Service Commencement Date. Echotech Lab may require payment for the first billing cycle before beginning service. If the Order provides for credit/debit card billing, Customer authorizes Echotech Lab to bill subsequent fees to the credit/debit card up to 5 days prior to, on or after the first day of each successive billing cycle during the Term of this Agreement; otherwise Echotech Lab will invoice Customer via electronic mail to the Primary Customer Contact listed on the Order. Invoiced fees will be issued TEN (10) days prior to the 1st day of each billing cycle, and the fees shall be due on the first day of the new billing cycle.


      Payments must be made in United States dollars. Customer is responsible for providing Echotech Lab with changes to billing information (such as credit card expiration, change in billing address) At its option, Echotech Lab may accrue charges to be made to a credit/debit card until such charges exceed $10.00. Echotech Lab may charge interest on overdue amounts at the lesser of 10% per month or the maximum non-usurious rate under applicable law. Echotech Lab may suspend the service without notice if payment for the service is overdue. Fees not disputed within fifteen (15) days of due date are conclusively deemed accurate. Customer agrees to pay Echotech Lab’s reasonable reinstatement fee following a suspension of service for non-payment, and to pay Echotech Lab’s reasonable costs of collection of overdue amounts, including collection agency fees, attorney fees and court costs.

      1. A. Fee Increases
      2. Echotech Lab may increase its fees for services effective the first day of a Renewal Term by giving notice to Customer of the new fees at least thirty (30) days prior to the beginning of the Renewal Term, and if Customer does not give a notice of non-renewal as provided in Section 2 above, the Customer shall be deemed to have accepted the new fee for that Renewal Term and any subsequent Renewal Terms (unless the fees are increased in the same manner for a subsequent Renewal Term).

      3. B. Taxes
      4. At Echotech Lab’s request Customer shall remit to Echotech Lab all sales, VAT or similar tax imposed on the provision of the services (but not in the nature of an income tax on Echotech Lab), regardless of whether Echotech Lab fails to collect the tax at the time the related services are provided.

      5. C. Early Termination
      6. Customer acknowledges that the amount of the fee for the service is based on Customer’s agreement to pay the fee for the entire Initial Term, or Renewal Term, as applicable. In the event Echotech Lab terminates the Agreement for Customer’s breach of the Agreement in accordance with Section 9 (Termination), or Customer terminates the service other than in accordance with Section 9 (Termination) for Echotech Lab’s breach, the unpaid fees for each billing cycle remaining in the Initial Term or then-current Renewal Term, as applicable, are due on the business day following termination of the Agreement.
